This agreement describes the legal binding between You and Boncart. The terms of this agreement will be effective upon your acceptance of the same and will govern the relationship between You and Boncart. If any terms of this Agreement conflict with any other document then the terms and conditions of this Agreement shall prevail until further change or modifications are notified by Boncart.
Selling at Boncart
Boncart is purely into B2C concept where the transactions are conducted between a company and consumers, so the selling in Boncart is like after you completed the seller registration formalities, we will collect all necessary details regarding your product (ex: Type of Product, Warranty, Price List, Image, Payment, etc,.) and will process all those information at our backend to make it appear in the Boncart page and then the sale starts.
By registering with Boncart You state that You have furnished all the relevant details that are required by Boncart. You declare that You in your own individual capacity and/or as an authorized representative of the entity registering as a supplier. You also state that you have provided Boncart with information such as Name, Contact details, Email address, Account details, GST, PAN No and other compliance related details through the Supplier Registration Form and that such information is true and correct as on date.
Boncart reserves the right to determine the Supplier who may provide to the Website. Boncart also reserves the right to suspend access to registered Suppliers to the Website and terminate such kind of access granted under this agreement without assigning any reason.
You agree that you will abide by the terms and conditions of this agreement and Boncart Policies, including any amendments thereto made by Boncart from time to time which may be made without notice to You. While providing the product You shall also provide all details relevant to the product such as an informative description of the product, manuals, accessories, warranty documents and other relevant documents.
You represent that the provided product details is correct and shall describe the actual condition of the product. If the product supplied does not match the product description then You agree to refund any amounts that are stated by Boncart.
You shall keep Boncart informed promptly on any information that shall impact the delivery of a product to the Boncart.
You confirm and understand that providing Boncart with wrong, fake, duplicate, spurious, counterfeit, damaged, defective, refurbished or previously owned Products through the website. If Boncart receives any such product then You shall be liable to pay three times the Selling Price of the Product or we might cancel the dealership with You without any notice.
Boncart reserves the right, at its sole discretion, to change, modify, add, or remove portions of this policy at any time and without any prior written notice to the Seller. It is the responsibility of the Seller to review this policy periodically for updates/changes.
Once we received the order from our customer we will intimate the order to you through the registered mail id by you and will pack the product with our own packing materials and courier it through our logistics partner.
Before we start packing the material as per our procedure your product will be moved to QC process and once it is passed in QC it will be couriered to customer or it will be returned back to you. Payment will be done to you only after QC of the product.
Seller agrees that Boncart will not be liable for any loss, damage, costs or liabilities that spring up as a matter of delivery. You also agree to indemnify Boncart for the consequence of a breach.
Based on the customer feedbacks the mutual relationship will be prolonged, if it was a repeated negative feedback or if the product is returned due to quality issue from the customer, it might end in cancellation of our agreement.
Seller Document Policy
In order to comply with GST audits and to ensure a hassle-free GST assessment process, sellers are required to submit their PAN, TIN/VAT, TAN and GST details. The accounts of sellers who fail to submit the details within the stipulated time will be made pending. The submission of TAN details is not mandatory but it will be useful for the seller to streamline the TDS process.
I hereby declare that the information shared with Boncart Retail Service Private Limited is by my own accord. I authorize Boncart to use the Seller Information in any manner that it deems fit for the purpose of providing automated logistics form solutions. I hereby release and discharge Boncart from any and all claims and causes of action of any kind or nature whatsoever, whether known or unknown and whether specifically mentioned or not, which may exist or might be claimed to exist at or prior to the date of this undertaking and I specifically waive any claim or right to assert any cause of action or alleged cause of action or claim or demand that may arise from the use of the information as contemplated under this undertaking. I shall be responsible for any consequences that may arise out of use of this information provided to Boncart.
Seller Performance Policy
As a part of trust and satisfaction offered to the customers of Boncart, we expect our sellers to maintain the level of equality with Boncart’s customer service standard. To check the equality level and to improve the performance to the next level we are evaluating seller’s performance with respect to percentage.
Following are the performance percentage that seller must comply in order to meet the customer satisfaction:
Boncart is against the sale of replicas, counterfeit products, and products infringing trademark or copyright, imitations of the original product or unauthorised materials. An attempt to sell any of these will lead to blacklisting.
Our Payment Terms differs based on the order we receive. We do Cheque payment 15 days or monthly once and if the order amount is below 2000 we do NEFT, this payment policy will be followed if there is continuous order flow. If we receive less orders for your product we do payment against invoice. If there is any changes in our payment term you will receive a mail with updated terms.
If consistently we receive negative feedback from customers, your seller agreement with Boncart will be cancelled.
Threat & Abuse
Boncart expects its sellers, as our business partners, to be courteous, professional and respectful while interacting with us via email or any other form of communication. Failing to do so, a seller will be given two initial warnings and will then be blacklisted. The following will be considered as threat & abuse:
Threats of physical harm via email, phone calls or public message boards will be dealt with seriously.
Failure to take correct measures will lead to blacklisting of the seller.
Both Boncart and Supplier acknowledge that during the existence of this Agreement, Supplier will have access to confidential information of Boncart. You held responsible for holding all data confidential and other confidential information supplied to You from Boncart and shall not sell or otherwise make that information available to any third parties. Thereof this agreement and terms shall be considered to be confidential.
Confidential information includes products and documents related thereto, the Website content or any other information which is treated as confidential by Boncart, whether oral or in written, received or yet to be received by You which is agreed to be treated under the same terms. Overcoming this may result in termination of this agreement.
The Seller undertakes to indemnify and to hold harmless Boncart, successors, agents, assigns, and each of their directors, officers, employees, associates, agents, and representatives from and against any losses, damages, liability, claims, costs, penalty and expenses that arose by means of any breach by the Seller of the Seller’s obligations, representations or warranties herein, any violation of applicable law or regulation by Seller or any breach by the Seller of any Boncart Policies or any other policies.
The rights and obligations under this Agreement shall not be assigned or transferred by You to any third party whomsoever, during the Term of this Agreement.
If You are in breach of any of the obligations, representations, warranties or any other material terms as contained in this Agreement and/or any of the policies, Boncart will raise a prior written notice of seven days without any reason and finally terminates all your accounts with Boncart.
Boncart may amend the terms and conditions of this Agreement and other Boncart policies at any time in its sole discretion by intimating you by sending an email to the email address you have noted down in the Supplier Registration Form. It is your responsibility to review amendment notification from time to time. You will be assumed to have accepted these amendments if you continue to access the website after the changes made by Boncart in amendments.
Any party to the contract shall not be liable for any failure to perform, if such failure is caused in whole or in part, by any force majeure event, including but not limited to acts of God, fire, flood, explosion, riots, war, rebellion, insurrection, sabotage and non-cooperation of third parties or any other circumstance or cause beyond the reasonable control of Boncart.
Boncart and Seller both exercise a right, power or remedy at its discretion and separately or concurrently with one another. No failure or delay in exercising any right, power or privilege hereunder shall operate as a waiver thereof.
